Allion Legal acts for Rainbow Reward Holdings on its re-domiciliation. Principal Jon Cane and Senior Associate Chris Rosario acted for Rainbow Reward Holdings Ltd on the re-domiciliation of its merchant funded cash back consumer loyalty business from Australia to the United States. The re-domiciliation was effected through an internal restructuring and shareholder approved in-specie distribution of shares in Zoola, Inc, which was undertaken in accordance with the Corporations Act, together with a US Plan of Conversion and US Plan of Reorganisation. The re-domiciliation of Rainbow’s business to the United States will enable the company to focus on the key market for Rainbow’s products and future growth prospects.
